The beginning
Palicha (CEO) and Vohra (product/tech) were teenagers at Stanford when they started what became Zepto. Early versions worked with kiranas; they concluded that 10-minute SLAs needed owned micro-fulfilment, and relaunched as Zepto in April 2021 (Y Combinator W21).
Unlike Grofers, Zepto did not spend seven years on scheduled grocery. It was born into the 10-minute war already started by Blinkit and Instamart.
The problem
The same urban “I need it now” job as Blinkit — with even less patience for a marketplace that cannot control pick-and-pack time.
The idea
Own the dark store. Own the SLA. Raise enough capital to match Blinkit’s store race. Charge the customer for convenience and the brand for ads / placement.
Early execution
Funding compressed: ~$570 million valuation (Dec 2021) to $5 billion (2024) to $7 billion (Oct 2025, CalPERS and General Catalyst among the names in coverage). Palicha said the company had about $900 million net cash after the October 2025 financing.
August 2026 reports said the IPO was postponed by a few quarters from a July 2026-type target, with a possible pre-IPO round. Listing is therefore a plan, not a completed event, as of this research date.
Business model
How value moves
- Retail margin on goods + delivery fees + advertising.
- Dark-store network as the operating asset.
- Heavy primary capital to fund negative or thin early store contribution.
Growth strategy
Store count, city count, and SKU expansion. Competition: Blinkit (share leader in several 2026 snapshots), Instamart, and now Amazon/Flipkart minutes. Zepto’s DRHP is itself a growth instrument: public capital to keep building stores.
Major milestones
2021
YC; kirana experiment; Zepto dark-store relaunch.
2021–22
Series C/D; sub-$1B to near-$1B valuations.
2023–24
Unicorn to $5B; national store race.
Oct 2025
$450M; $7B valuation; ~$900M cash.
Dec 2025–Jun 2026
Confidential DRHP, then UDRHP; ED summons disclosed.
Aug 2026
IPO delay reported.
Challenges, failures and adaptation
Quick commerce is a three-way (or five-way) capital war. Being third or second still requires billions. Profitability at the store cohort level is the metric that matters more than GMV screenshots.
Regulatory and founder-related disclosures (ED summons) add listing risk even when they do not equal guilt.
A founder group in their mid-20s running a ₹20,000+ crore revenue operation is a governance story as much as a romance story. Boards, parents’ trusts (Lazarus Trust, Vohra Trust) and ESOP trusts are part of the cap table, not trivia.
GMI analysis
The following is Grow My India’s interpretation of documented information. It is not a statement by the company.
What we can learn
Verticalise if the SLA requires it.
How to apply it. If partners cannot hit your time promise, bring the step in-house — as Zepto did versus kiranas.
Disclose hard facts early.
How to apply it. If a regulator writes to you, put it in the investor memo yourself. Zepto’s UDRHP did. Silence is worse.
Cash is a product feature in a war.
How to apply it. Never enter a subsidised market with only 6 months of runway. Zepto’s $900M cash comment is the real competitive slide.
